1. Scope and acceptance
These Terms of Service (“Terms”) govern access to and use of Niuron, including niuron.ai, its dashboards, APIs, SDKs, tools, documentation, and related features (“Service”). The Service is made available under the name Niuron (“Niuron,” “we,” or “us”).
By creating an account, accessing, or using the Service, you agree to these Terms and the Privacy Policy. If you use the Service for a company or organization, you represent that you have authority to bind it; in that case, “you” also means that organization.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a contract. Account information must be accurate and kept current. You are responsible for protecting your credentials, API keys, sessions, and devices, and for activity under your account, except to the extent caused by Niuron’s failure.
Organizations may designate administrators and members. The organization is responsible for granting and removing access, setting permissions, and overseeing member use.
3. The Service and model routing
Niuron provides an access and routing layer for third-party AI models and providers. Depending on your organization’s settings and request, the Service may forward a request to a model you select or automatically select and route it to a compatible model. Automatic selection is a technical decision based on available signals and does not guarantee a particular result or universal suitability.
Models may produce inaccurate, incomplete, offensive, or outdated responses. Review outputs. They are not a substitute for professional advice or the sole basis for medical, legal, financial, credit, employment, safety, or other high-impact decisions. You must maintain appropriate human oversight.
4. API keys and security
API keys are confidential. Do not publish them, share them with unauthorized persons, or embed them in publicly accessible applications or repositories. Apply reasonable access, rotation, and monitoring controls. Niuron may limit or revoke a key when necessary to protect accounts, users, providers, or the Service.
You may not circumvent limits, access controls, metering, billing, or security mechanisms, or use another person’s credentials without authorization.
5. Third-party providers and models; BYOK
The Service may rely on third-party providers, models, search tools, and other integrations. Their terms, policies, limits, prices, and data practices may also apply. Niuron does not control those third parties’ independent decisions, including model availability, changes or discontinuation, data processing, or generated responses.
When you configure your own credentials (“BYOK”), you authorize Niuron to use them to route requests you initiate. The provider may charge you directly. You are responsible for keeping your provider credentials and account valid and sufficiently funded; Niuron is not responsible for charges imposed directly by that provider.
6. Content and outputs
“Content” includes prompts, files, data, instructions, and other materials submitted to the Service, as well as generated outputs. As between you and Niuron, you retain the rights you hold in submitted content. You grant Niuron a limited, worldwide, non-exclusive license to host, process, transmit, and use that content only as necessary to provide, secure, maintain, and support the Service, comply with law, and enforce these Terms.
To the extent permitted by law and applicable provider terms, outputs are made available to you. They may not be unique: other users may receive the same or similar responses. You are responsible for checking third-party rights, accuracy, safety, and compliance before using or distributing an output. You represent that you have the rights and authorizations needed to submit the content and direct its processing.
7. Data, privacy, and retention
The Privacy Policy explains personal data processed, purposes, sharing, retention periods, and data-subject rights. The Service may process content to fulfill requests and, depending on settings and features used, temporarily store responses in caches. Playground conversations may remain saved until deleted; operational data may be retained for security, billing, debugging, and auditing.
Requests may be sent to providers you select or that are selected for inference. Those providers’ retention, location, and data-use practices are also governed by their policies. Do not submit sensitive personal data, secrets, third-party data, or confidential information without an appropriate legal basis, authorization, and safeguards. Do not use the Service for automated decisions affecting people without complying with applicable law.
8. Prohibited uses
You may not use the Service to:
- Violate laws, third-party rights, or these Terms; defraud, deceive, harass, threaten, exploit, or harm.
- Create, distribute, or facilitate malware, phishing, spam, fraud, sexual exploitation, or violence.
- Interfere with the Service, test or circumvent its security without authorization, scrape data at scale, or reverse engineer it, except where prohibited by law.
- Infringe copyright, privacy, publicity, or intellectual-property rights, or submit data without required rights or consent.
- Make high-impact decisions without required human review and controls, or violate applicable provider or model usage policies.
9. Prices, credits, and payments
The Service may require prepaid credits and/or charge for specific features. Before confirmation, the purchase screen will state the amount, currency, credits to be added, any applicable fees, and total. Where applicable, a top-up fee is charged in addition to the credit amount and must be disclosed before payment. The total shown at checkout governs that transaction.
Credits are prepaid units for use of the Service; they are not a bank deposit, e-money, investment, or cash-redeemable balance, except where these Terms or applicable law provide for a refund. Usage follows the price schedule and usage records available in the dashboard. Niuron may correct manifest metering or billing errors with a reasonable explanation.
Payments are processed by third parties, such as Stripe, and may be subject to the processor’s and payment issuer’s rules. Currency, exchange conversion, taxes, and the amount charged may depend on checkout, the processor, your bank, and your location. Review the total before authorizing.
If you enable automatic top-ups, you authorize new charges when the criteria and limits displayed in settings are met. Each completed top-up is a separate purchase. You may disable automatic top-ups in settings; this does not reverse charges already initiated or completed.
10. Cancellations and refunds
In addition to mandatory statutory rights, Niuron offers this commercial policy: within 7 (seven) calendar days after each credit purchase, you may request a refund of the portion of that purchase’s credit balance that has not been consumed. The refund includes the proportional portion of the top-up fee associated with unconsumed credits. If none of that purchase’s credits has been consumed, the commercial refund is the full amount paid, including the top-up fee.
Each completed automatic top-up is a separate purchase with its own 7-day period. Credits already consumed are not refundable under this commercial policy, without prejudice to non-waivable statutory rights. If approved, the refund will be sent to the original payment method, subject to processor and bank timelines.
This policy does not limit any statutory right of withdrawal or other rights. Where applicable, Article 49 of Brazil’s Consumer Protection Code provides a 7-day withdrawal period for qualifying off-premises contracts, with repayment of amounts paid as required by law. Mandatory legal protections prevail in case of conflict.
11. Service availability and changes
We seek to keep the Service available but do not guarantee uninterrupted or error-free operation. Maintenance, network failures, incidents, provider limits, and events outside Niuron’s control may cause outages or delays.
We may change or discontinue features for operational, security, legal, or business reasons. Where a change materially affects users, we will seek to provide reasonable advance notice, except in urgent situations or where prohibited by law.
12. Suspension and termination
You may stop using the Service and request account closure through the dashboard. Niuron may suspend or terminate access as necessary to comply with law, protect the Service or others, or address non-payment, fraud, abuse, or a breach of these Terms. Where feasible, we will notify you and explain how to correct or challenge the action.
Termination does not eliminate amounts owed, obligations that by their nature survive, or legal rights. Unused credits will be handled under the cancellations and refunds section and applicable law.
13. Niuron intellectual property
Niuron and its licensors retain rights in the Service, software, trademarks, interfaces, documentation, and materials, excluding content supplied by you and third-party rights. These Terms grant you a limited, revocable, non-exclusive, non-transferable license to use the Service while your account is active and subject to these Terms. No rights are transferred except as expressly granted.
14. Disclaimers
To the extent permitted by law, the Service is provided as available. Niuron does not warrant that any model or output will be accurate, safe, complete, uninterrupted, or fit for a particular purpose. Nothing in this section excludes warranties or rights that cannot be waived under applicable law.
15. Liability
Each party is responsible for damages it causes as provided by applicable law. To the maximum extent permitted by law, Niuron will not be liable for indirect damages, lost profits, or data loss resulting from improper use, decisions made without validation, or failures of independent third parties, except where such exclusion is not permitted. No provision limits liability that may not legally be limited, including mandatory consumer rights.
For business users only, and only to the extent permitted by law, Niuron’s total liability for events related to the Service is capped at the total amount you paid Niuron for the Service in the 12 months preceding the event giving rise to the claim. This cap does not apply to liabilities that cannot be limited by contract and does not reduce consumer rights.
16. Third-party claims
To the extent permitted by law, you are responsible for third-party claims caused by content you submitted or use of the Service in breach of these Terms, provided Niuron gives you reasonably prompt notice and allows you to cooperate in the defense. This section does not require consumers to waive legal rights and does not cover damage caused by Niuron itself.
17. Changes to these Terms
We may update these Terms. We will publish the revised version and state its effective date. Material changes will be communicated with reasonable advance notice through the Service or another available channel. If the law requires renewed consent, we will request it. Continued use after the effective date, where legally permitted and after adequate notice, constitutes acceptance. If you disagree, stop using the Service and request account closure.
18. Governing law and disputes
These Terms are governed by the laws of the Federative Republic of Brazil. The parties will seek to resolve complaints in good faith. Nothing prevents access to consumer-protection authorities or the courts. The legally competent venue is preserved, including the consumer’s domicile where applicable. These Terms do not impose mandatory arbitration.
19. General provisions
If a provision is invalid, the remaining provisions remain effective, subject to non-waivable rights. Failure to enforce a right is not a waiver. You may not assign these Terms without authorization, except for a reorganization permitted by law. Niuron may assign them in a reorganization or transfer of the Service, subject to law and user rights. These Terms and documents expressly incorporated by reference are the agreement concerning the Service.
